Outsourcing Terms and Conditions

These outsourcing Terms and Conditions set out the rules governing the access and use of certain services on or through the website of Outsource-Philippines by a user or customer. Read these terms very well to avoid breaching them.

1. Interpretation

1.1 Definitions

Unless otherwise stated, the following definitions apply to this page:
– “agreement”, “terms”, and “terms of use” refer to these outsourcing Terms and Conditions;
– “we”, “us”, and “our” refer to https://outsource-philippines.com/;
– “you”, “your” and “customer” refer to the person(s) or entity(ies), paying for the services of Outsource-Philippines, who have entered into this agreement;
– “services” are virtual assistance, digital marketing, web hosting, and other procured services or facilities Outsource-Philippines gives you;
– “server” is the computer equipment we operate in connection with our outsourcing services;
– “order” means a request made by the customer to us for services we must supply and are subject to these terms;
– “charges” are the quoted rates payable by the customer for the delivery of services, which may change from time to time.

Construe the words “include” and “including” without limitation.

The headings on this page are for convenience only and shall not affect the interpretation of these terms.

2. Ordering Process

2.1 Order Acceptance

We do not accept any order until you set up an account and receive the “Welcome” email, including other specific details. Until such time, we reserve the right to refuse, cancel, or reject any order you made. In such cases, we will refund your fee in full using the same method you used in making your payment.

3. Refunds

3.1 Money-Back Guarantee

3.1.1 Customers shall receive a full refund within 14 days after placing an initial order. You will receive it in the same way you made your payment. However, we will refund offline payments by check or other online methods.
3.1.2 The 14-day money-back guarantee does not apply and will not be issued if more than Fifty Percent (50%) of the service has already been made on your order or account. This money-back guarantee does not apply to services such as domain name registration or if the account has breached these outsourcing Terms and Conditions prior to its cancellation.

3.2 Account Cancellation

After the 14 day introduction period, no refunds will be issued for account cancellations on a monthly payment schedule. Accounts on a yearly payment schedule are entitled to a pro rated refund taking only full months into account when calculating refund due. If cancellation of the account is caused by the customer breaching these terms and conditions no refund will be issued. No refunds are issued for domain registrations.

4. Misuse

4.1 Spam / Unsolicited Mass E-mail

Sending of Unsolicited Commercial Email (SPAM) through our or third-party servers promoting a website we host can result in account suspension or termination without refund. Mailing lists may be operated as long as users subscribed to them and the software in use come from our supplied control panels. We will take seriously and will investigate any complaints we receive.

4.2 Chat Rooms

Only chat room scripts made available to customers on their control panel are allowed on our server. Any other scripts found will be disabled and the account will be suspended in serious or repeat cases.

4.3 Account Use

Under no circumstance must our servers be used for the hosting of or referencing or linking to any of the following:
4.3.1 nudity, pornography, any intent with sexual, lewd, or obscene nature; 4.3.2 violation of any copyright or any right of any third party;
4.3.3 threatening, abusive, harassing, and defamatory statements;
4.3.4 promotion of illegal activities (hacking, cracking, etc.);
4.3.5 information or software containing or about any virus;
4.3.6 hate speech or hate propaganda;
4.3.7 collection of personal information for illegal purposes; and
4.3.8 content we deem, at our sole discretion, to be harmful to us.

4.4 Banned Scripts

We do not allow usage of the following scripts on our servers:
CGI/Perl version of YABB
Proxy scripts
IRC scripts
Chat rooms not included as standard in the cPanel
phpShell and similar command execution scripts
FormMail (versions prior to 1.91)

4.5 Resellers

In the event that a resold account breaches our Misuse terms, we reserve the right to suspend said account without informing the reseller. We will not contact nor make every effort to inform the reseller (our customer) of our actions and reasons.

5. Billing

5.1 Payment Schedules

The customer agrees to pay for our services in advance.

5.2 Invoices

We will send all invoices by email and their printable versions by fax. Customers must pay in advance at the beginning of each payment term using the available method of choice within Five (5) working days from invoice issue date.

5.3 Bank Charges

Customers shall provide sufficient funds in their account. We will not be held responsible for any charges incurred as a result of overdrawing of the bank account or failed transactions.

5.4 Suspension

We reserve the right to suspend any account after Five (5) working days have passed without receipt of due payment. Any extra time for payment will be at our sole discretion.

5.5 Currencies

All invoices and payments are processed in Philippines Peso (PHP) and/or US Dollar (USD). Prices shown in other currencies on this website or other promotional material are to be treated only as a guide and may be inaccurate due to changes in the exchange rates. All customers are advised to check the sums using accurate recent exchange rates before ordering.

6. Backups

6.1 Regularity and Policy

We do backups every day on an incremental basis and each week on a full basis. However, we do not guarantee the integrity of these backups. Backup measures are in place to assist in the event of hardware failure warranting a full system restoration. No piece of data can be obtained from backups on a single account basis. Customers are strongly advised to download their own backups regularly from their control panel where a zipped archive of all the account files and databases is supplied daily.

7. Resource Use

7.1 CPU and Memory

All accounts are monitored for their use of server resources. If any account is using a large volume of server resources, we will contact the customer to discuss the issue. In serious cases where an account is using a considerably large volume of system resources (memory, CPU, etc.), the account may be suspended or script disabled without notice to maintain the server’s smooth run.

7.2 Data Transfer and Web Space Allocations

Customers can request a package upgrade or temporary resource increase at the costs viewable on our website at https://outsource-philippines.com. It is the sole responsibility of the customer to contact us in advance to ask for extra resources to prevent account suspension. In some cases, accounts are suspended automatically when their limits have been reached and they require manual resumption.

8. Customer Responsibility

8.1 Contact Information

The customer must keep their contact details up-to-date in their billing control panel. We cannot be held responsible for communication mix-ups as a direct result of the customers’ failure to update their details.

8.2 Sensitive Data

Customers are responsible for keeping their usernames, passwords, and other sensitive data safe. If a breach is suspected, the customer must request for a change of login details by contacting support staff. We are serious about keeping your personal data safe and secure. 9. Contact Procedure

9.1 If a breach of these terms and conditions is found we will, at our sole discretion, determine whether it is a serious or minor breach. If a serious breach of these terms is found we reserve the right to suspend the account(s) of the customer or disable any part of the account before contacting them. We will however make an attempt to contact the customer prior to suspension in the event of a minor breach using the email address we have on record for your account. If no reply is received within 3 days we will escalate the status of the breach to a serious breach and may suspend the account(s).
9.2 In the event that a resold account is the subject of the breach we will make every effort to contact the reseller before taking action. In serious cases we may have to suspend or disable part of the account before contacting the reseller.

9.3 Limitation of Liability and General Terms

9.3.1 We are not responsible for any claimed damages, which may result from our servers going offline, or being unavailable for any reason. These may include damages that result from the corruption or deletion of data. The customer agrees to indemnify and hold us and our employees harmless from any claims or damages including, but not limited to, consequential damages resulting from the use of the service on the part of the customer or any other party.
9.3.2 We will cooperate fully with the investigation of system or network security violations on other sites and with law enforcement authorities for possible criminal violations. Customers who violate these terms may incur criminal or civil liability.
9.3.3 For clients with multiple accounts and resellers, we reserve the right to suspend all accounts should the main account owner violate these terms in a manner deemed by us to be extremely serious. 9.3.4 In the event that we are unable to contact a reseller account holder to pursue payment, we reserve the right to contact their customers to inform them of the situation. We also reserve the right to contact a reseller’s customers if they are ‘abandoned’ by the reseller account holder.
9.3.5 We will be the sole arbiter as to what constitutes a violation of these terms of use. The failure by a customer to meet or follow any of the above terms is ground for account suspension or deactivation.

10. Modification

10.1 We reserve the right to add, delete, or modify these outsourcing Terms and Conditions, our services, rates, and website, at any time, with notice shared via the worldwide web on this page. All customers are encouraged to check this page at least once a month to ensure they are aware of any amendment.
